These general terms and conditions of sale ("GTC") govern the relations between INTARXCELL, LDA and its , for the design, manufacture, supply and installation of bespoke joinery works. They are subject to Portuguese law.

2. Purpose and scope of application
These GTC apply to any order for study, design, manufacture, supply and/or installation of bespoke works placed with INTARXCELL. Any order entails full and unreserved acceptance of these GTC, which prevail over any document of the customer, save for written and express derogation by INTARXCELL.
The GTC are communicated to the customer prior to the conclusion of the contract, on the quotation and/or by reference to this page. INTARXCELL reserves the right to amend them at any time; the applicable version is the one in force on the date of the order.
3. Quotation and formation of the contract
As each project is bespoke, it is the subject of a personalised quotation, free of charge and without obligation. The quotation specifies the nature of the services, the materials, the finishes, the price and the indicative lead times.
The quotation is valid for from its date of issue. The contract is formed on the date of receipt by INTARXCELL of the quotation dated, signed and accepted by the customer, together with payment of the deposit provided for in Article 5.
The plans, visuals and descriptions accompanying the quotation are provided for validation. Manufacture is launched only after written validation by the customer. The characteristics of the wood (tones, graining) and the visuals are communicated for indicative purposes, wood being a natural and living material (see Article 11).
4. Price
Prices are expressed in euros (€). Unless otherwise stated, they are inclusive of all taxes for consumers and may be indicated exclusive of tax for professionals, the applicable VAT being that in force in Portugal on the date of invoicing.
The quotation price is firm for the services described therein. Any modification requested by the customer during the project (materials, dimensions, options) is the subject of a costed amendment. Delivery and installation charges are specified in the quotation according to the location of the worksite.
5. Payment terms
Save for particular conditions indicated in the quotation, payment is made as follows:
- 90 %
- 10 %
The accepted means of payment are specified in the quotation (bank transfer, etc.). In the event of late payment, default interest is due at the applicable to consumers, set by Portaria n.º 291/2003 — namely, for indicative purposes, — without prejudice to the enforceability of the amounts remaining due. The fixed recovery indemnity specific to commercial transactions does not apply to consumer customers.
6. Retention of title
The works delivered remain the property of INTARXCELL until full payment of the price, in principal and accessories. The transfer of risk nevertheless takes place upon delivery. The customer undertakes to keep the works in good condition until full payment.
7. Manufacturing, delivery and installation lead times
The average production time is approximately three months after validation of the plans, depending on the scale and complexity of the project. Lead times are given for indicative purposes and run from the customer's validation and the receipt of the deposit.
INTARXCELL cannot be held liable for delays resulting from an event of force majeure, from an act of the customer (late validation, access to the worksite, preliminary works not completed) or of a third party. In such cases, the lead times are extended accordingly.
8. Delivery, acceptance and reservations
Delivery and installation are carried out by INTARXCELL's teams or, depending on the quotation, by on-site delivery. At the end of the works, an acceptance report is drawn up. The customer is required to inspect the works and to record any reservation or apparent defect on this document. Reservations not formulated upon acceptance may not be invoked subsequently in respect of apparent defects.
9. Right of withdrawal
In accordance with Decreto-Lei n.º 24/2014, the consumer has in principle a period of fourteen (14) days to exercise their right of free withdrawal in the context of contracts concluded at a distance or off-premises.

10. Warranties
Legal warranty of conformity
The consumer benefits from the legal warranty of conformity provided for by Decreto-Lei n.º 84/2021: three (3) years for movable goods, five (5) years for immovable goods (and ten (10) years for defects relating to structural elements), from delivery. This legal warranty applies as of right, independently of the commercial warranty.
10-year commercial warranty
INTARXCELL additionally grants a ten (10) year commercial warranty on its works, which is added to the legal warranties without restricting them. The conditions of application, the coverage, the exclusions and the procedure for implementation are detailed on the page, which forms an integral part of these GTC.
11. Wood, a living material
Wood is a natural and living material. Differences in tone, grain and figure, as well as slight changes in colour over time, are inherent to the material and do not constitute defects. They may not give rise to any claim, provided they do not call into question the quality or the intended purpose of the work.
12. After-sales service
Any after-sales service request is to be addressed to INTARXCELL in writing at , accompanied by photographs and a copy of the invoice. The procedure and timeframes are specified on the page.
13. Liability
INTARXCELL undertakes to perform its services in accordance with industry best practice. Its liability cannot be engaged in the event of misuse, insufficient or inadequate maintenance, modification by a third party, or damage resulting from external causes (water damage, fire, abnormal humidity of the building, structural movements). For professional customers, INTARXCELL's liability is limited, to the extent permitted by law, to the amount of the order concerned.
14. Intellectual property
The studies, plans, drawings, 3D visuals and creations produced by INTARXCELL remain its exclusive intellectual property and may not be reproduced, communicated or used by the customer or a third party without its prior written authorisation. The validation and realisation of a project entail no assignment of rights over these creations.
15. Personal data
The personal data provided in the context of an order are processed in accordance with the GDPR and with our , to which the customer is invited to refer.
16. Complaints and dispute resolution
Any complaint may be addressed to INTARXCELL at . In accordance with Portuguese legislation, the consumer customer also has access to the (Livro de Reclamações eletrónico) available at .
Pursuant to Lei n.º 144/2015, in the event of a consumer dispute, the consumer may have recourse to an alternative dispute resolution (ADR) entity. The district of Leiria, where INTARXCELL is established, does not have a dedicated regional arbitration centre: the competent entity is therefore the , a centre of national competence (Rua D. Afonso Henriques, 1, 4700-030 Braga · tel. +351 253 619 107 · · ). A complaint may also be lodged via the European online dispute resolution platform (ODR): .
17. Applicable law and jurisdiction
These GTC are governed by Portuguese law. Failing an amicable resolution, any dispute falls within the jurisdiction of the competent Portuguese courts, without prejudice to the mandatory provisions more favourable to the consumer provided for by the law of their residence.
18. Miscellaneous provisions
If any of the clauses of these GTC were to be held void or unenforceable, the other clauses would retain their full force. The fact that INTARXCELL does not avail itself of a clause does not constitute a waiver thereof.
